01

Acceptance and Authority

These Terms govern the Found CTRL customer portal and the related billing, licensing, invoice, and owner-access workflows made available through it.

By requesting a sign-in code, opening the portal, or using any self-serve billing or account-management feature, you agree to these Terms. If you are acting for an organisation, you represent that you are authorised to do so on that organisation's behalf.

02

What the Portal Is For

The customer portal is a management surface for organisations that buy or hold licenses for Found CTRL products. It is intended to help the verified owner review invoices, understand license status, manage subscriptions, request eligible refunds, and administer certain owner-approved access actions.

The portal is not a general public account system, a marketplace, or a replacement for product-specific agreements. Product-specific commercial terms, feature scope, service commitments, and implementation details remain governed by the agreement or offer attached to the relevant product.

  • reviewing current and historical invoices, receipts, and payment status
  • managing subscription renewal, cancellation, and payment-method actions where self-serve billing is supported
  • checking license status, plan information, renewal windows, and organisation-linked entitlements
  • creating or revoking owner-approved invites and initiating recovery or ownership-transfer workflows
03

Eligibility and Account Responsibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the portal. If you use it for an organisation, you are responsible for ensuring your actions are authorised under that organisation's internal governance.

You are responsible for all actions taken through your verified portal access, except to the extent caused solely by our own breach of law or contract.

04

Owner Verification and Sign-In

Portal sign-in is based on the owner or billing email recorded against the relevant license or organisation purchase. Access codes are sent to that email address in order to confirm that the person opening the portal is authorised to manage the account.

A normal portal sign-in is intended to grant portal access. It does not, by itself, move or remove device-bound owner access that may exist in a related desktop or native workflow. Separate recovery and rebind flows exist when device ownership actually needs to move.

  • keep verification codes confidential and use them only for the license they were requested for
  • protect the email account that receives billing or owner verification messages
  • notify us promptly if you believe a billing or owner email has been compromised or no longer belongs to the correct organisation contact
05

Billing, Renewals, and Self-Serve Actions

Some products sold through Found CTRL use recurring subscriptions, scheduled renewals, or gateway-hosted billing portals. Where those features are enabled, the customer portal may surface self-serve actions such as payment-method updates, subscription changes, cancellation requests, invoice review, or renewal follow-up.

Availability of these tools depends on the product, billing provider, plan configuration, and current account state. Some actions may redirect you to a third-party payment processor or hosted billing surface.

  • fees, taxes, and billing terms may apply according to the product you purchased
  • renewal or cancellation actions can affect continued entitlement or feature availability
  • refund, dispute, or chargeback activity may change license state or access availability
  • payment providers may impose their own terms, fraud controls, and operational rules
06

Refunds and Commercial Corrections

Where the portal offers self-serve refund functionality, that functionality is subject to the refund policy currently configured for the relevant product or purchase flow. A displayed refund control does not guarantee refund eligibility in every case.

Refund processing may revoke or alter the related license where appropriate. Abuse-prevention thresholds, time-window restrictions, and provider-side constraints may also limit what can be refunded automatically.

07

Organisation and License Information

As between you and Found CTRL, your organisation retains responsibility for the accuracy of the billing contact details, ownership details, and internal access decisions used with the portal.

You must ensure that the license key, owner email, invite recipients, and billing contact details you use are accurate and belong to the correct organisation context.

08

Acceptable Use

You may not use the portal to interfere with service operation, bypass licensing or billing controls, or obtain access to any organisation or license you are not authorised to manage.

  • attempt to scrape, automate, overload, or abuse the portal or related API endpoints
  • impersonate another person or organisation, or use an email address you are not authorised to control
  • tamper with invoices, billing evidence, verification flows, or subscription-management redirects
  • use the portal for unlawful, fraudulent, abusive, discriminatory, or rights-violating conduct
09

Third-Party Providers

The portal may depend on third-party payment processors, billing providers, hosting providers, email-delivery providers, and operational infrastructure. Those services may have their own terms, privacy rules, uptime commitments, and regional limitations.

We are not responsible for third-party outages, enforcement decisions, gateway delays, or provider-side policy changes outside our reasonable control.

10

Availability and Changes

We may change, improve, restrict, or discontinue parts of the portal from time to time. Features may vary by product, app key, environment, payment setup, or commercial plan.

We do not guarantee that every billing tool, invoice artifact, or notification feed will always be available instantly or in every jurisdiction.

11

Intellectual Property

The portal, its design, interface elements, software, and related branding remain the property of Found CTRL or its licensors, except for the organisation data and records you lawfully provide or control.

No ownership rights in the portal or related software are transferred to you except for the limited rights reasonably necessary to use the service as permitted by these Terms and any applicable product agreement.

12

Suspension and Termination

We may suspend, limit, or terminate portal access where reasonably necessary for security, fraud prevention, legal compliance, overdue payment handling, abuse prevention, or protection of service integrity.

Termination of portal access does not automatically delete records that must be retained for legal, accounting, security, or dispute-resolution purposes.

13

Disclaimers

To the maximum extent permitted by law, the portal is provided on an as-is and as-available basis. We do not warrant that the portal will always be uninterrupted, error-free, or available in every region, browser, or provider configuration.

Nothing in the portal constitutes legal, tax, accounting, financial, or regulatory advice. You remain responsible for your own billing, procurement, and compliance decisions.

14

Limitation of Liability

To the maximum extent permitted by applicable law, Found CTRL and its affiliates, personnel, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunity arising from or related to the portal.

If liability cannot be excluded, our aggregate liability will be limited to the amount paid for the relevant product or service during the period reasonably connected to the claim, or the minimum amount that cannot be excluded under applicable law, whichever is greater.

15

Governing Law and Contact

Unless mandatory local law requires otherwise, these Terms are governed by the laws of England and Wales. Any dispute relating to the portal or these Terms will be handled in the courts of England and Wales, except where non-waivable law requires a different forum.

Questions about billing, legal terms, or customer-portal access can be sent to hello@foundctrl.com. Found CTRL Limited is registered in England and Wales under company number 17079973.
